Milan 12 September 2019 – Lexia Avvocati will assist TAS S.p.A., Italian market leader in solutions and specialised services for the management of payment systems, electronic money, financial markets and extended enterprise, in a corporate reorganisation project which envisages, among others:

– the transfer of the Payment Business Unit to a NewCo under Italian law wholly controlled by TAS. The capital increase, consisting of the transfer of the BU, is subject to the consent of some contractors and the carrying out of trade union procedures;

– the transfer of all foreign holdings of the Group from TAS S.p.a. to TAS Helvetia S.A., a company under Swiss law wholly owned by TAS.

As emphasised by the Board of Directors, the extraordinary strategic reorganisation operation aims to provide the “company with the organisational resources and brands capable of increasing the value of the Group” with the effect of facilitating future new industrial and financial partnerships and accelerating the process of business growth.

Lexia Avvocati has been appointed to follow all aspects of the operation under Italian law, with a team in terms of corporate aspects composed by partner Francesco Dagnino, associates Aurora Agostini, Alessandro Guarino and Andrea Massimo Maroni, as well as trainee Greta Maspero. Fabrizio Vincenzo Giglio will take care of labour law profiles instead.
