LEXIA recently assisted Saentra Forge, formerly known as Genenta Science, a Nasdaq-listed company, in a strategic agreement for a phased entry into the capital of ATC, an Italian defense systems manufacturer.
The LEXIA team, led by managing partner Francesco Dagnino and partner Giacomo Paracchi, with the support of partners Fabio Luongo and Stefano Corrà and associate Giorgia Pignatelli, managed the entire process, providing Saentra Forge with assistance on various legal and regulatory aspects.
In particular, LEXIA supported Saentra Forge in the legal, tax, and labor due diligence, ensuring a thorough review in compliance with applicable regulations. The team also handled the drafting and negotiation of the contractual documentation, ensuring every detail aligned with the client’s interests.
Special attention was given to regulatory aspects, including the implications of the Golden Power regulation and public safety regulations on armaments, requiring a detailed analysis of Italian and European regulations.
