Milan, Sept. 15, 2022 – Lexia Avvocati has assisted Eurotech S.p.A., a leading provider of Edge Computing solutions for mission critical applications listed on the MTA organized and managed by Borsa Italiana (STAR segment), in the acquisition of the entire share capital of InoNet Computer GmbH, a German company based in Taufkirchen, operating in the Industrial PC (IPC) and embedded systems for special applications sectors.

The Enterprise Value of the target amounts to 10 million euros, on the basis of which a cash consideration of 9.45 million euros was determined; an earn-out of up to a maximum of 300,000 Eurotech shares is also envisaged, to be paid depending on the achievement until the financial year 2024 of certain targets for organic growth, implementation of synergies and retention of identified key figures.

Lexia Avvocati assisted Eurotech S.p.A. with a team consisting of Managing Partner Francesco Dagnino, Partner Giovanni Battista Bruno and Associate Stefano Corrà, who acted as lead counsel.
