LEXIA with Francesco Dagnino in the acquisition by Gilde of a controlling shareholding in TAS

Milan, 22 October – The funds Gilde Buy-Out Fund VI and Gilde Buy-Out Fund VI 2, managed by Gilde Buyout Partners, signed through a newco, with the indirect shareholders of Owl (i.e. the companies Gum Consulting, Bravi Consulting, CLP together with Fabio and Matteo Bravi), the controlling shareholder of TAS, a contract for the indirect acquisition of the majority of TAS’ share capital.
TAS is a Milan-based fintech group listed on the Borsa Italiana MTA and specialised in software solutions for e-money, electronic payments and financial markets in general.
The newco that is going to acquire TAS will be majority owned by Gilde and, with a minority stake, by Bravi Consulting (a company controlled by the current CEO of TAS), as well as by a further minority investor.
After the completion of the acquisition, the newco will be required to launch, directly or indirectly, a mandatory public tender offer on the remaining shares of TAS.

The legal teams

The financing aspects of the transaction were handled by a team led by partner Andrea Arosio and comprising counsel Linda Taylor, managing associate Diego Esposito and associates Sara Astrologo and Matteo Pozzi. Partner Lucio D’Amario also participated in the project, together with managing associate Giorgio Gian Battista Valoti and trainee Mattia Gilioli for the golden power profiles.

The transaction’s tax profiles were handled by Di Tanno Associati with a team comprising partner Domenico Ponticelli, senior associates Antonio Cuoco and Sabrina Tronci and associates Matteo Egidi, Gilda Natoli and Valerio Forestieri.
