Milan, 21 July 2023 – Qualitas Energy (a leading international investment fund manager focusing on renewable energy, energy transition, and sustainable infrastructure), in the context of the joint venture already established with L.P. Holding S.r.l. (a company operating in the development of renewable energy power plants) acquired a 50% stake from L.P. Holding S.r.l. in several special-purpose vehicles, in order to jointly develop 2 wind farms in Italy with a maximum capacity of approximately 80MW and 3 photovoltaic plants with a maximum capacity of about 45MW.

The legal aspects of the transaction were managed by the in-house teams of L.P. Holding (under the coordination of Ludovico Lombardi, together with Marco Abazia and Francesco Gramazio for administrative and technical profiles) and Qualitas Energy (under the coordination of Qualitas Energy Italia’s General Counsel, Giuseppe Pizzuto, along with lawyers Elena Motta and Simona Granieri). Both teams were supported by Lexia, in charge of drafting and finalizing all contractual and corporate documentation related to the JV establishment, with a team led by Partner Marco Muscettola, assisted by Counsel Fabio Luongo, and Associates Stefano Corrà and Silvia Riga for the drafting and negotiation of the contractual documentation, as well as Counsel Pinella Altiero and Associates Nicoletta Bezzi and Beatrice Buntin for corporate, administrative, and regulatory due diligence profiles.

The overall structuring of the transaction was handled by Marcello Molino and Luciano Garofano, Partner of the advisory firm MFZ.
