Expert.ai, an Italian company listed on the Euronext Growth Milan market and active in the field of artificial intelligence and semantic solutions for the automation of text analysis and data-driven business decision-making, finalized two major transactions on 1 July 2025.
The company completed a paid capital increase, with the exclusion of pre-emptive rights and in a divisible form, for a maximum amount of €20 million, through the full exercise by the Board of Directors of the delegation granted pursuant to Article 2433 of the Italian Civil Code by the extraordinary shareholders’ meeting.
Expert.ai also finalized the acquisition of 100% of the share capital of I.S.E.D. – Ingegneria dei Sistemi Elaborazione Dati, a software house with a long-standing tradition of technological innovation in the Public Administration and regulated markets sectors. The acquisition included a reinvestment by ISED’s direct and indirect shareholders of part of the proceeds from the sale, within the framework of the capital increase.
These transactions aim, on the one hand, to provide Expert.ai with new resources to support the objectives of its industrial plan — also in continuity with the previous rights issue concluded on 31 July 2024 with full subscription for a total amount of approximately €30 million — and, on the other hand, to strengthen its positioning in the Public Administration sector, particularly in the digitalization of healthcare and the management of public IT systems.
LEXIA assisted Expert.ai in all legal aspects of the ISED acquisition, including due diligence, drafting and negotiation of the acquisition and reinvestment agreement, as well as in connection with the capital increase, including the drafting of all corporate documentation and coordination with Expert.ai’s Euronext Growth Advisor and Borsa Italiana.
